1. Agreement to Terms
These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Premier Digital Studio ("we," "us" or "our"), concerning your access to and use of our website and services. By accessing the site, you agree that you have read, understood, and agreed to be bound by all of these Terms of Service.
2. Intellectual Property Rights
Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights.
3. User Representations
By using the Site, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms of Service; (4) you are not a minor in the jurisdiction in which you reside.
4. Prohibited Activities
You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.
5. Limitation of Liability
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site, even if we have been advised of the possibility of such damages.
6. Governing Law
These Terms shall be governed by and defined following the laws of Texas. Premier Digital Studio and yourself irrevocably consent that the courts of Texas shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
7. Subscription Plans & Billing
All monthly plans require a one-time setup fee due at signing. Monthly fees are billed in advance on the same date each month. Plans are available on 6-month (Starter) or 12-month (Growth, Pro) minimum terms.
8. Content Updates & Edit Hours
Each plan includes a monthly allotment of edit time (1 hr, 2 hrs, or 3 hrs depending on plan). Edit time resets each billing cycle and does not roll over. Requests that exceed the included allotment are billed at $85/hr, invoiced separately at the end of the billing cycle. "Edit time" covers content changes, copy updates, image swaps, and minor layout adjustments — not new page builds or feature development.
9. Design Satisfaction Guarantee
Premier Digital Studio stands behind the quality of its design work. If you are not satisfied with your initial website design after the first revision round, we will continue working with you at no additional charge until the design meets your approval. This guarantee applies to the initial design and build phase only and is subject to the following conditions:
- Feedback must be specific, actionable, and provided within 7 days of each design delivery.
- The guarantee covers visual design and layout — not changes to scope, features, or functionality beyond the original project brief.
- This guarantee does not constitute a right to a monetary refund. Setup fees and monthly subscription fees paid are non-refundable.
10. Cancellation Policy
To cancel your subscription, written notice must be submitted at least 30 days before your next billing date via email to support@premierdigitalstudio.com. Cancellations are not effective until confirmed in writing by Premier Digital Studio.
If you cancel before your minimum term is complete, an early termination fee equal to 50% of the remaining contract balance will be due at the time of cancellation. For example, a client on a 12-month Growth plan ($299/mo) who cancels after month 4 would owe 50% of the remaining 8 months (8 × $299 × 50% = $1,196).
No refunds are issued for partial months or the one-time setup fee.
11. Buyout Option
Clients may purchase full ownership of their website at any time by paying the buyout price listed in their plan. Upon receipt of payment, Premier Digital Studio will transfer the full site codebase to the client. The client assumes all responsibility for hosting, domain management, security, and ongoing maintenance. No support or updates are included after buyout unless separately contracted. The one-time setup fee and any monthly fees paid are non-refundable and do not apply toward the buyout price.
