1. Agreement to Terms

These Terms of Service constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Premier Digital Studio ("we," "us," or "our") regarding your access to our website and use of our services. By using our website or engaging us for services, you agree to these terms.

2. Services

Premier Digital Studio provides website design, development, hosting coordination, website maintenance, content updates, support, and ecommerce website services for small businesses. Specific deliverables, timelines, third-party costs, and project scope may be further defined in a written proposal, invoice, statement of work, or signed agreement. If a signed agreement conflicts with these website terms, the signed agreement controls.

3. Pricing and Payment

Our standard website offers are: a lump-sum website build starting at $3,800, a managed monthly website plan at $175 per month, and custom ecommerce projects starting at $8,000. Additional pages beyond the first five are billed at $100 per page. Blog setup may be added for $250. The managed monthly website plan has no setup fee unless a written proposal states otherwise. Pricing may vary when the scope, integrations, content requirements, or timeline differ from the standard offer.

Invoices are due according to the due date shown on the invoice. Monthly website plans are billed in advance on a recurring monthly basis. Third-party costs, including domain registration, Shopify subscriptions, payment processor fees, paid apps, stock assets, advertising spend, or specialty software, are not included unless stated in writing.

4. Monthly Website Plan

The monthly website plan is a managed service. It includes design and development for a standard website with up to five pages, managed hosting, unlimited standard content edits, ongoing support, and website updates while the subscription remains active and the account is current.

Standard content edits include reasonable updates such as text changes, image swaps, hours, menus, services, links, and similar maintenance requests. New pages, new layouts, redesigns, custom features, ecommerce work, advanced SEO campaigns, or unusually large batches of changes may be quoted separately.

The monthly website plan requires a 12-month minimum commitment. After the first 12 months, the plan continues month-to-month until canceled with proper notice.

Monthly payments do not automatically convert into ownership of the website code or files. If the monthly plan is canceled, the hosted website may be taken offline unless you have separately purchased ownership through a lump-sum agreement or another written transfer agreement.

5. Lump-Sum Website Builds

Lump-sum website builds include ownership of the completed website files after final payment has cleared, except for third-party assets, licensed software, stock media, frameworks, reusable internal tools, or other materials we do not own or cannot legally transfer.

Managed hosting for lump-sum websites is available for $25 per month. Edit support may be added for $50 per month and may require a 12-month support commitment unless agreed otherwise in writing.

6. Ecommerce Projects

Ecommerce projects start at $8,000 and are quoted based on store scope, product count, integrations, shipping requirements, tax setup, payment processor needs, app configuration, and content requirements. Shopify fees, paid apps, payment processor fees, product photography, inventory entry, and ongoing store operations are not included unless stated in writing.

7. Edits and Support

Standard edits include text updates, image swaps, link changes, simple business information updates, menu or service list updates, and similar maintenance requests. Standard edits do not include new pages, new website sections, redesigns, new functionality, custom integrations, ecommerce buildout, complex forms, copywriting campaigns, SEO campaigns, or work outside the original website scope. Out-of-scope work will be quoted separately before work begins.

8. Client Responsibilities

You are responsible for providing accurate business information, timely feedback, required logins, brand assets, approvals, legal/compliance requirements for your industry, and any content or media you want included. Delays in content, approvals, access, or feedback may delay the project timeline.

9. Ownership of Domain, Content, and Assets

You own your domain name, business information, logos, brand assets, text, photos, videos, and other materials you provide to us, provided that you have the legal right to use them. We do not take ownership of your domain. If we help purchase or configure a domain for you, we can transfer or provide access to the domain upon request once your account is current.

10. Website File Ownership

Website file ownership depends on the pricing model. Lump-sum clients own the completed website files after final payment. Monthly plan clients are paying for an active managed website service and do not automatically own the website code or files. There is no automatic ownership transfer or rent-to-own conversion on the monthly plan, but a written buyout or transfer agreement may be available based on the size of the site, the original build value, and payments already made. Unless a written agreement says otherwise, 50% of monthly website plan payments made may be credited toward an approved buyout.

11. Cancellation Policy

After the 12-month minimum term on the monthly website plan, you may cancel with at least 30 days written notice sent to support@premierdigitalstudio.com. Cancellation is not effective until confirmed in writing by Premier Digital Studio.

If you want to cancel the monthly plan and keep the website files, you should request a buyout or transfer option before cancellation. Any buyout or transfer must be confirmed in writing, and monthly payments do not automatically satisfy the buyout price.

If you cancel a monthly website plan before the 12-month minimum is complete, an early termination amount equal to the standard $3,800 website build price minus monthly payments already made will be due. This protects the upfront design and development work that was provided with no down payment. This early termination amount is separate from any website file buyout unless a written agreement says otherwise.

No refunds are issued for partial months, completed work, ecommerce work, third-party costs, or monthly fees already paid.

12. Late Payments and Suspension

Monthly invoices include a seven-day grace period. If an invoice remains unpaid after seven days, a $25 late fee may be added. If invoices remain unpaid or we cannot reach you after reasonable attempts, we may pause updates, suspend hosting, take the website offline, cancel the agreement, and require payment of any outstanding balance or early termination amount.

13. Refunds and Design Approval

If we cannot create an initial design direction that you are reasonably happy with before the website build moves forward, we may refund amounts paid to start the project at our discretion. Once design, development, or ecommerce work has begun, payments are non-refundable except where required by law or agreed in writing.

14. SEO, Performance, and Third-Party Services

We build fast, accessible, search-friendly websites with on-page SEO foundations, but we do not guarantee specific rankings, traffic, leads, sales, or revenue. Search engine results depend on many factors outside our control, including competition, Google algorithm updates, reviews, backlinks, content quality, and your broader marketing activity. We are not responsible for outages, policy changes, price changes, or failures caused by third-party providers.

15. Intellectual Property Rights

We retain ownership of our pre-existing tools, methods, reusable components, processes, internal templates, and know-how. You may not copy, resell, distribute, reverse engineer, or commercially exploit our website, service materials, or proprietary work except as expressly permitted in writing.

16. Limitation of Liability

To the fullest extent permitted by law, Premier Digital Studio will not be liable for indirect, incidental, consequential, exemplary, special, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or reputational harm. Our total liability for any claim will not exceed the amount you paid to us for the specific service giving rise to the claim.

17. Governing Law

These terms are governed by the laws of Texas. Any dispute related to these terms or our services shall be handled in the appropriate courts or dispute-resolution forum in Texas, unless a signed agreement states otherwise.
